1. Definitions
- Content means all materials made available through the Services, including (without limitation) text, images, graphics, videos, audio, software, question banks, explanations, and course materials.
- User-Generated Content means any content you submit, post, upload, transmit, speak, or otherwise make available through the Services (including Voice Session transcripts and free-text responses).
- Digital Products means downloadable, streamed, or access-controlled digital materials (for example, online courses, PDFs, videos, question banks, Credits, and similar items).
- Order means a purchase of a product or service through the Services.
- Subscription means time-based access billed as presented at checkout (for example, monthly or annual access), whether one-time or recurring as disclosed.
- Oral Examination Practice System means OtoPrep’s oral exam / viva preparation features, including (as available) Viva Modules, Voice Live Coach, AI-generated Viva Feedback, and related session history, transcripts, and analytics.
- Viva Modules means structured oral examination practice modules and stations (which may include prompts, questions, images, flashcards, checklists, and examiner-style flows).
- Voice Live Coach / Voice Session means a real-time voice interaction feature that uses your microphone and produces a transcript log and responses (including Socratic, Tutor, or Viva modes).
- Viva Feedback means an automated feedback report generated after a Viva-style session based on the transcript and session criteria (where enabled).
- Credits means usage units that may be required to start or extend certain Voice Sessions or Viva Module sessions. Credits may be granted as part of a plan, trial, allowance, promotion, or purchase; may be exam-scoped or global; and may be subject to reset periods and/or expiration.
2. Eligibility
To access and use our Services, you must be at least 18 years of age (or the age of majority in your jurisdiction, if different) and have the legal capacity to enter into these Terms. By accessing or using our Services, you represent and warrant that you meet these eligibility requirements.
3. Account Registration and Security
You may be required to create an account to access certain features of our Services. You are responsible for maintaining the confidentiality of your account information, including your username and password, and for all activities that occur under your account.
- You agree to notify us immediately of any unauthorized access or use of your account.
- We are not responsible for any loss or damage arising from your failure to protect your account information.
- Your account is personal to you. You must not share, sell, transfer, sublicense, or permit others to use your account credentials.
4. Changes to Services and Terms
We reserve the right, at our sole discretion, to modify or discontinue, temporarily or permanently, our Services (or any part thereof) at any time, with or without notice.
We may update these Terms from time to time. If we make material changes, we will post the updated Terms on our website and update the “Last Updated” date at the top of this document. Your continued use of our Services after changes are posted constitutes acceptance of those changes.
5. License and Acceptable Use
We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for your personal, non-commercial use, subject to these Terms.
Prohibited activities
- use the Services for any unlawful purpose or in a way that violates these Terms;
- copy, reproduce, distribute, publicly display, sell, resell, sublicense, or create derivative works from the Services or Content unless we expressly permit it in writing;
- share paid Content publicly or with third parties, including by uploading, posting, forwarding, or distributing screenshots, downloads, videos, PDFs, question banks, or explanations;
- bypass, disable, interfere with, or circumvent access controls, paywalls, usage limits, Credits enforcement, or security features;
- use bots, scrapers, spiders, or other automated means to access the Services or extract Content;
- reverse engineer, decompile, or attempt to derive source code from any part of the Services except where prohibited by law;
- upload or transmit malware, viruses, or harmful code;
- impersonate another person, misrepresent your identity, or provide false information;
- harass, abuse, defame, threaten, or otherwise violate the rights of others.
Additional rules for Oral Examination Practice (Voice/Viva)
- No patient-identifiable information: do not submit, speak, upload, or share any personally identifiable patient data or other sensitive information you do not have the right to disclose.
- Consent for audio: if you use Voice Sessions, you are responsible for obtaining any required consent from anyone whose voice might be captured (if applicable).
- Do not rely on AI output clinically: Voice/Viva responses and Viva Feedback are for education/exam practice only and must not be used for medical decision-making.
- No manipulation attempts: do not attempt to “jailbreak,” override safeguards, or induce the system to provide prohibited content, exam cheating, or confidential materials.
6. Intellectual Property
All Content and materials provided through our Services are the property of OtoPrep or its licensors and are protected by copyright and other intellectual property laws. Except for the limited license in Section 5, no rights are granted to you.
You may not reproduce, distribute, modify, publicly display, or create derivative works from the Content without our prior written consent.
If you provide suggestions, ideas, or feedback, you grant us a perpetual, worldwide, irrevocable, royalty-free right to use and incorporate it without compensation.
7. User-Generated Content
You are solely responsible for any User-Generated Content you submit, post, or share through our Services. By submitting User-Generated Content, you represent and warrant that you have the necessary rights and permissions to do so and that your User-Generated Content does not infringe the rights of any third party or violate applicable law.
You grant OtoPrep a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting), display, and distribute your User-Generated Content as necessary to operate, maintain, improve, and promote the Services.
We may remove or disable access to User-Generated Content at our discretion.
8. Orders, Pricing, Taxes, and Payments
- Prices and availability are displayed on the Services and may change at any time. Price changes do not affect Orders already completed.
- You are responsible for any applicable taxes unless stated otherwise at checkout.
- Payments may be processed by third-party payment processors. Your payment may also be subject to the payment processor's terms and privacy practices.
- We reserve the right to reject, cancel, or hold Orders for suspected fraud, unauthorized activity, chargeback risk, or violations of these Terms.
9. Subscriptions
If you purchase a Subscription, the duration, access level, and price will be disclosed at checkout or within the plan description.
No auto-renewal unless explicitly stated
Subscriptions do not automatically renew unless auto-renewal is explicitly stated at checkout, in the plan description, or in an order confirmation. If auto-renewal applies, you authorize recurring charges to your payment method until you cancel.
Cancellation
Where a Subscription includes auto-renewal, you may cancel future renewals through your account settings (if available) or by requesting cancellation via our Support page. Cancellation stops future renewal charges and does not retroactively refund amounts already paid except as required by law or as expressly stated in the Refund Policy.
Billing issues
If a payment fails, we may suspend or limit access until payment is received.
10. Access, Delivery, and Availability
- Digital Products may be delivered via access through your account and/or download links. You are responsible for maintaining compatible devices, software, and internet access.
- We strive to provide reliable access, but we do not guarantee uninterrupted availability. The Services may be unavailable due to maintenance, upgrades, outages, or events outside our control.
- We may update, replace, or remove Content over time, including to keep materials current. Access to updated Content may depend on your plan, purchase type, or Subscription status.
10A. Oral Examination Practice System (Voice Live Coach & Viva Modules)
The Oral Examination Practice System provides oral exam / viva-style preparation using interactive modules and (where enabled) real-time voice practice. These features may use automated transcription and AI-generated responses.
What’s included (where available)
- Viva Modules: structured oral exam stations that may include prompts, questions, images, flashcards, and examiner-style flows.
- Voice Live Coach: a real-time voice practice view that can run across multiple questions with a single session, showing question stimuli and a transcript log.
- Modes: Socratic (guided questioning), Tutor (teaching/explanations), and Viva (examiner-style questioning).
- Viva Feedback: in Viva mode, you may be able to generate a feedback report after the session based on the transcript and session criteria.
Microphone, transcription, and transcripts
- Voice Sessions require microphone access on your device and a stable internet connection.
- Your speech may be transcribed automatically. Transcription errors can occur and may affect the flow of questioning and the accuracy of any feedback.
- We may store transcripts, session metadata (e.g., mode, duration, question progression), and any generated feedback in your account for session history, support, and product operation.
Session limits and Credits
- Voice/Viva sessions may be subject to time limits, usage limits, and/or Credits requirements (as displayed in your account and/or in the Voice/Viva interface).
- When Credits are enabled, starting a Voice/Viva session may consume or reserve Credits upfront based on the session’s initial time allocation, and extending a session may require additional Credits.
- Credits may be granted as part of a plan, trial, allowance (daily/monthly), promotion, or purchase. Allowances may reset on a schedule and some Credits may expire.
- We may change Credits rules, minutes-per-credit, limits, and eligibility by exam, tier, or user, and we will reflect those changes in the UI or plan descriptions.
11. Educational Disclaimer
The Services may include educational or exam-preparation materials. We do not guarantee any specific outcome, score, certification, admission, or result. You are responsible for how you use the materials and for verifying information where appropriate.
AI/Voice features disclaimer: Voice Sessions, Viva Modules, and Viva Feedback may be generated or assisted by automated systems and may contain inaccuracies, omissions, or errors. Outputs are provided for educational practice only and are not medical advice. Do not use these outputs for clinical decision-making.
12. Refund Policy
Refund window
- We offer a refund request window of 7 calendar days from the purchase date for eligible purchases.
- To request a refund, include your name, Order number, and the email used at checkout.
Digital Products and access-based products
Because Digital Products are delivered immediately and can be consumed quickly, refunds for Digital Products are assessed based on usage. A refund may be denied if we reasonably determine that the Digital Product has been substantially used or consumed. Substantial use may include (without limitation) significant streaming/viewing, substantial downloads, extensive completion of tests/question banks, or initiating and using Voice/Viva sessions.
If a refund is granted for a Digital Product, your access may be revoked and you must delete any downloaded copies.
Voice/Viva sessions and Credits
Where Voice Sessions, Viva Modules, Viva Feedback, or Credits are part of a purchase, refund eligibility may be affected once those features have been used. Credits may be consumed or reserved when a Voice/Viva session starts and may be consumed again when a session is extended. Refunds may be denied where Credits have been spent/reserved or where Oral Examination Practice content has been substantially used, except as required by law.
Services and time-based deliverables
If you purchase services such as tutoring, coaching, live sessions, or time-based deliverables, refund eligibility may depend on whether the service has started or been delivered in whole or in part. We may, at our discretion, provide a pro-rated refund where appropriate unless required by law.
Refund method and timing
- Approved refunds are issued to the original payment method where possible.
- Refunds will be processed within 28 business days of receiving a complete refund request. Your bank or payment provider may take additional time to post the credit.
Abuse and chargebacks
We reserve the right to refuse a refund if we believe the Refund Policy is being abused, if there is suspected fraud, if Content sharing/copying is detected, or if the product/service has been misused or damaged.
If you initiate a chargeback without first contacting us to resolve the issue, we may suspend your account and access pending investigation.
Statutory rights
Nothing in this Refund Policy limits any consumer rights you may have under applicable law that cannot be waived.
13. Third-Party Links and Services
The Services may contain links to third-party websites or services. We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk.
Some features (including Voice Sessions, automated transcription, and Viva Feedback) may rely on third-party technology providers. Where required to deliver these features, your inputs (such as audio for transcription and/or transcripts and session criteria for feedback generation) may be processed by those providers under their respective terms and policies.
14. Disclaimer of Warranties
Our Services and Content are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. We do not warrant that our Services or Content will be error-free, up-to-date, secure, uninterrupted, or complete, and we disclaim all liability for any errors or omissions in the Content.
To the fullest extent permitted by law, we disclaim all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
15. Limitation of Liability
To the fullest extent permitted by law, in no event shall OtoPrep, its affiliates, or their respective officers, directors, employees, agents, licensors, or suppliers be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising from or related to your use of, or inability to use, our Services or Content.
To the fullest extent permitted by law, OtoPrep's total liability for all claims arising out of or relating to these Terms or the Services will not exceed the greater of: (a) the amount you paid to OtoPrep for the Services giving rise to the claim in the three months immediately preceding the event giving rise to the claim; or (b) AED 100.
16. Indemnification
You agree to indemnify, defend, and hold harmless OtoPrep, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of our Services or Content, your User-Generated Content, or your violation of these Terms.
17. Termination
We may terminate or suspend your access to our Services, with or without notice, for any reason, including but not limited to your breach of these Terms. Upon termination, your right to access and use our Services will immediately cease.
Any provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, warranty disclaimers, indemnity, limitations of liability, and governing law.
18. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy.

19. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in the United Arab Emirates to resolve any dispute arising from or relating to these Terms or your use of our Services.
20. Notices and Electronic Communications
By using the Services, you consent to receive communications from us electronically, such as via email, account notifications, or notices posted on the Services. Notices are considered received when sent (for email) or when posted (for website notices).
21. Miscellaneous
- Severability: If any provision of these Terms is deemed invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
- No waiver: No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets, or by operation of law.
- Force majeure: We are not responsible for delays or failures caused by events beyond our reasonable control, including internet or hosting outages, natural disasters, labor disputes, governmental actions, or other force majeure events.
